Welcome to IndyMart ("Platform", "we", "our", "us"). These Terms and Conditions ("Terms") constitute a legally binding agreement governing your access to and use of the IndyMart website, mobile applications, and related services. IndyMart operates as a technology-enabled marketplace connecting customers, local sellers, and delivery partners.
By accessing, registering, or using the Platform in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and all other policies referenced herein. If you do not agree, you must immediately discontinue use of the Platform.
Unless the context otherwise requires:
"User" means any person who accesses or uses the Platform.
"Customer" means a User who places an order for products or services.
"Seller" means any merchant, shop, business, or individual offering products through the Platform.
"Delivery Partner" means an independent individual or entity providing delivery services.
"Order" means a request placed by a Customer to purchase products listed by a Seller.
"Content" includes text, images, videos, logos, trademarks, software, and data available on the Platform.
Headings are for convenience only and do not affect interpretation.
2.1 You must be at least 18 years of age and legally capable of entering into a binding contract under Indian law.
2.2 You represent and warrant that:
All information provided by you is true, accurate, and complete
You will comply with all applicable laws and regulations
You are using the Platform for lawful purposes only
2.3 IndyMart reserves the right to refuse access, suspend, or terminate accounts that do not meet eligibility criteria.
3.1 To access certain features, you must create an account.
3.2 You are solely responsible for maintaining the confidentiality of your login credentials.
3.3 Any activity conducted through your account shall be deemed to be performed by you.
3.4 You agree to immediately notify IndyMart of any unauthorized access or security breach.
3.5 IndyMart may require identity verification, KYC, or additional documents for Customers, Sellers, or Delivery Partners as per law.
4.1 IndyMart is a marketplace facilitator and does not:
Own, manufacture, store, or sell products (unless expressly stated)
Control or guarantee Seller product quality
4.2 Sellers are solely responsible for:
Product descriptions, pricing, quality, and legality
Compliance with GST, FSSAI, Legal Metrology, and other applicable laws
4.3 IndyMart is not a party to the contract between Customer and Seller, except for facilitating the transaction.
5.1 Placing an Order constitutes an offer by the Customer.
5.2 Sellers may accept or reject Orders based on availability and operational capacity.
5.3 Prices are determined by Sellers and may change without prior notice.
5.4 IndyMart reserves the right to cancel Orders due to:
Pricing or typographical errors
Product unavailability
Suspected fraud or misuse
Legal or regulatory reasons
6.1 Payments may be made via third-party payment gateways or Cash on Delivery (COD), where available.
6.2 IndyMart does not store complete card or sensitive payment details.
6.3 Payment processing is subject to the terms of the respective payment service providers.
6.4 IndyMart shall not be liable for payment failures caused by banks, gateways, or network issues.
7.1 Delivery timelines are estimates only and may vary due to traffic, weather, operational issues, or force majeure events.
7.2 Delivery Partners operate as independent contractors and are not employees or agents of IndyMart.
7.3 Risk of loss and title to products pass to the Customer upon delivery.
7.4 Customers must ensure availability to receive orders at the delivery address.
8.1 Cancellation and return eligibility may vary by product category and Seller policy.
8.2 Perishable and consumable goods are generally non-returnable except in cases of damage or incorrect delivery.
8.3 Refunds, if approved, will be processed to the original payment method within a reasonable time.
8.4 IndyMart reserves the right to reverse refunds in cases of misuse or fraud.
You agree not to:
Use the Platform for unlawful or fraudulent purposes
Provide false or misleading information
Harass, abuse, threaten, or harm other users
Interfere with Platform security, servers, or networks
Attempt to gain unauthorized access to systems or data
Sellers agree to:
Maintain valid licenses, registrations, and permits
Ensure product authenticity, safety, and compliance
Honor accepted Orders and delivery commitments
Handle disputes, returns, and refunds responsibly
IndyMart may suspend or terminate Seller accounts for violations.
Delivery Partners agree to:
Deliver orders safely and professionally
Maintain valid identification, licenses, and insurance
Comply with traffic, safety, and local laws
IndyMart may deactivate Delivery Partners for misconduct or non-compliance.
12.1 All Platform Content is owned by or licensed to IndyMart.
12.2 Users are granted a limited, non-exclusive, non-transferable license to use the Platform for personal purposes.
12.3 Unauthorized copying, modification, or distribution is prohibited.
IndyMart may integrate third-party services. IndyMart is not responsible for third-party actions, content, or policies.
The Platform is provided on an "as is" and "as available" basis. IndyMart disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
To the maximum extent permitted by law:
IndyMart shall not be liable for indirect, incidental, or consequential damages
Total liability shall not exceed the amount paid by the User for the relevant Order
You agree to indemnify and hold harmless IndyMart, its directors, employees, and partners from any claims arising out of your violation of these Terms or applicable laws.
IndyMart may suspend or terminate access without prior notice for violation of these Terms, suspected fraud, or legal requirements.
IndyMart shall not be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, strikes, network failures, or government actions.
These Terms shall be governed by the laws of India. Courts within India shall have exclusive jurisdiction.
IndyMart reserves the right to amend these Terms at any time. Continued use after updates constitutes acceptance.

These Terms are drafted in compliance with Indian laws including the Information Technology Act, 2000, Consumer Protection Act, 2019, and the Digital Personal Data Protection Act, 2023.
